Your use of the TV Biz space Service, a subsidiary of TV Business Lounge.com, is expressly based upon the
stipulations listed and your acceptance of these legally binding Terms. If the certifications are not true,
or if you do not agree to any part of these Terms of Service, you may not use the Service. TV Biz Space
reserves the right to update, modify and revise these Terms without notice or acceptance by you. You agree
that you will periodically review TV Biz Space to be aware of any such revisions.
Eligibility
In order to register as a TV Biz Space member you must be 13 or over. Any membership in the Service is
automatically void where prohibited. As a member and in use of the Web site’s services, you represent
and warrant that you have the right, capacity and authority to enter into this particular agreement and
will abide by all of the terms and conditions of this Agreement.
Profiles
As a registered member on TV Biz Space Web Site, your profile must describe you (an individual person).
Examples of in-appropriate profiles include the following, but are not limited to, profiles that purport
to represent an animal, inanimate, place, object, a real individual who is not you or any fictional
character.
Responsibility for activities
You are fully and solely responsible for all your activities in connection with your access to or use of
the TV Biz Space and for all activities that occur under your account. If you become aware of any
unauthorized use of the Service, you agree to immediately notify TV Business Lounge. TV Biz Space shall not
be liable to you or to any third party for any loss or damage arising as a result of any of the foregoing
activities.
Content
You are solely responsible for the Content that you display or publish (hereinafter, "post") on the TV Biz
Space or transmit to other TV Biz Space Members.
The following below is a partial list of the kind of Content that is considered illegal or prohibited on
the TV Biz Space Web Site. TV Biz Space reserves the right to investigate fully and take any appropriate
legal action in its sole discretion against anyone who violates this provision; including without
limitation, removal of the offending communication from the Service and automatically terminating the
membership of such violators. It includes Content that:
- Is patently offensive to the online community, such as Content that promotes bigotry, racism,
hatred or physical harm of any kind against any group or individual;
- promotes information that you are aware is false, promotes illegal activities or misleading
or conduct that is threatening, abusive, obscene, libelous or defamatory; involves the transmission
of "chain letters," "junk mail", or unsolicited mass mailing or "spamming";
- advocates harassment or harasses another person;
- promotes any illegal or unauthorized copy of someone else's copyrighted work, such as providing
pirated computer programs or links to them, providing information to circumvent manufacture-installed
copy-protect devices, or providing pirated music or links to pirated music files;
- contains password only access pages or restricted pages, or hidden pages or images (those not
linked to or from other accessible page);
- displays any form of pornographic or sexually explicit material of any kind;
- provides material that exploits persons under the age of eighteen in a violent or sexual manner,
or solicits the personal information from anyone under eighteen;
- provides instructional information about any illegal activities such as buying or making illegal
weapons, providing or creating any computer viruses or violating a person's privacy.
Copyright Policy
You may not post, reproduce, or distribute in any way any copyrighted material, trademarks, or other
proprietary information of TV Biz Space without obtaining the prior written consent of the owner of
such proprietary rights.
TV Biz Space shall determine in its sole discretion what action, if any, shall be taken in the event
of any discovered or reported violation of the following terms. You agree that you shall not, and you
shall not permit others using your account, if any, to: (a) upload, post, transmit or otherwise make
available any Content that is unlawful, harmful, threatening, abusive, harassing, tortuous, defamatory,
vulgar, obscene, libelous, invasive of another's privacy (including without limitation any personal
information except with written consent of the owner.
Copyright Policy
Except in jurisdictions where such provisions are restricted, in no event will TV Biz Space be liable
to you or any third person for any exemplary, indirect, consequential, incidental, special or punitive
damages, including also any lost profits arising from your use of the TV Biz Space Web site or the
Services, even if TV Biz Space has been advised of the possibility of such form of damages.
Notwithstanding anything to the contrary contained herein, TV Biz Space liability to you for whatsoever
cause, and regardless of the form of the action, will at all times be limited to the amount that is
paid, if any, by you as a member to TV Biz Space for the Service during the term of the membership.
Indemnification
You agree to defend, indemnify and hold harmless TV Biz Space, its affiliates, officers, directors,
employees and agents, from and against any and all claims, damages, obligations, losses, liabilities,
costs or debt, and expenses (including but not limited to attorney's fees) arising from: (a) your use
of and access to the Service; (b) your violation of any of these Terms; (c) your violation of any
third party right, including without limitation any copyright, property, or privacy right; or (d) any
claim that any Content uploaded, posted, transmitted or otherwise made available by you via the Service
caused damage to a third party. This defense and indemnification obligation will survive these Terms
and your use of the Service.
Links
Links are provided by TV Biz Space and third parties. Links to other websites or resources is not under
the control of TV Biz Space, therefore, you acknowledge and agree that TV Biz Space is not responsible
for the availability of such external websites or resources, and does not endorse and is not responsible
or liable for any Content (In addition, you acknowledge and agree that TV Biz Space shall have no
responsibility or liability whatsoever for any damage or loss caused or alleged to be caused by or in
connection with use of or reliance on any such Content, goods or services available on or through any
such website or resource.
Termination
TV Biz Space reserves the right to terminate your use of the Service and remove any Content at any time
in line with term compliance. TV Biz Space also reserves the right to discontinue providing all or part
of the Service. You agree that any termination of your access to the Service and any discontinuation by
TV Biz Space in providing the Service may be effected without notice to you in addition to returning any
Content to you. You agree that TV Biz Space shall not be liable to you or any third-party for any such
termination or for any interruption or discontinuation of the Service.
You understand and agree that TV Biz Space reserves the right to review/edit,
delete any content, photos, messages or profiles (collectively, "Content") that in TV Biz Space sole
judgment violate this. Agreement or that which might be illegal, offensive, or that might violate the
rights, threaten the safety of other members, or harm them in anyway.
Termination
While using the Web site services and/or are a Member; this Agreement will remain in full force and effect.
You are free to terminate your membership at any time you wish. If TV Biz Space terminates your membership
because you have breached the Agreement, you will not be entitled to any refund of( if any) unused
subscription fees. This agreement will still remain in full effect even after your membership has been
terminated.
Content Responsibility
You acknowledge and agree that all information, data, text, software, music, sound, photographs, graphics,
video, messages, goods, products, services or other materials ("Content") are the sole responsibility of
the person from which such Content originated. You are entirely responsible for all Content that is
uploaded, posted, transmitted or otherwise made available via TV Biz Space by you or through your account,
if any. You understand that Content may in some cases be viewed through third party websites or interfaces
through which the Service is accessed and/or used and that TV Biz Space does not control such third party
websites and interfaces.
As a member posting Content to any public section of TV Biz Space, you automatically grant, and you warrant
and represent that you have the right to grant, to TV Biz Space a perpetual, irrevocable, non-exclusive,
fully paid, worldwide license to copy, perform, use, display and distribute such information and content
and to incorporate into other works of, or prepare derivative works of such information and content, and
to grant and authorize sublicenses of the foregoing.
License to Content
TV Biz Space does not claim ownership of your content posted, transmitted or otherwise made available by
you via the TV Biz Space. By submitting content and until such content is removed, you grant TV Biz
Space a world-wide, royalty-free, and non-exclusive license to reproduce, modify, adapt and publish such
Content solely for the purpose of providing the Service.
Notices of Infringement; Digital Millennium Copyright Act
If you believe that material made available via the Service infringes your copyright or other intellectual
property rights, you agree to provide notice of such suspected infringement to the following address

Proprietary rights and restrictions
You acknowledge and agree that the Service and any software accessed through or provided in connection with
the Service contains proprietary and confidential information of TVBizSpace, its licensors and others that
is protected by applicable intellectual property and other laws. You further acknowledge and agree that
Content contained in advertisements or information presented to you in connection with or through the
Service is protected by laws and regulations relating to copyrights, trademarks, service marks, patents
or other proprietary rights. Except as expressly authorized by TV Biz Space or its licensors or advertisers,
as applicable, you agree not to modify, copy, rent, lease, loan, sell, resell, distribute, create derivative
works from, or exploit the Service or such software, in whole or in part.
You do not have the right to copy, publish, modify, transmit, perform, display, distribute or sell any
other proprietary information. TV Biz Space owns and retains all proprietary rights in the TV Biz Space
Web Site and its Service. The Web Site contains the copyrighted material, trademarks, and other proprietary
information of TV Biz Space, and its licensors.
Miscellaneous
(a) For U.S. Government users, the Service and any materials or software provided in connection therewith are
"commercial items" and are provided only with the "restricted rights" set forth herein;
(b) Notices to you may be made via either email or regular mail, and notices of changes to these Terms
or other matters may be made, if at all, by displaying notices or links to notices to you generally
on the Service;
(c) These Terms and the relationship between you and TV Biz Space shall be governed by the laws of the
State of California without regard to its conflict of law provisions. You agree to submit to the personal
and exclusive jurisdiction of the courts located within San Francisco, California;
(d) No failure of TV Biz Space to exercise or enforce any right or provision of these Terms shall constitute
a waiver of such right or provision;
(e) The current version of these Terms and TV Biz Space's privacy policy constitute the entire agreement
between you and TV Biz Space relating to the Service, superseding any prior agreements between you and
TV Biz Space;
(f) If any provision of these Terms or incorporated documents are found adjudicated invalid, such
provision shall be reformulated to give the maximum enforceable effect to the intent of the original
provision or TV Biz Space may terminate your access to and use of the Service, and the other provisions
of these Terms and incorporated documents shall remain in full force and effect;
(g) You agree that regardless of any statute or law to the contrary, any claim or cause of action arising
out of or related to use of the Service or these Terms must be filed within one year after such claim or
cause of action arose or be forever barred; and (h) Section titles in these Terms are for convenience
only and have no legal or contractual effect.
Email and Newsletters
From time to time, in line with your TV Biz Space membership and specified interests, we will be sending
out email and advertisements to your email. We will not sell or rent your email address to any other
companies.
Advertisements and communications
The placement and timing of advertisements and/or communications shall be determined by TV Biz Space
in its sole discretion. If you find a particular advertisement offensive, you may contact TV Biz Space
at info@TVBizSpace.com and provide your comments or ask to have the advertisement removed.
Warranty Disclaimer
YOU AGREE THAT YOUR USE OF THE TV BIZ SPACE WEBSITE SHALL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT
PERMITTED BY LAW, TV BIZ SPACE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS DISCLAIM ALL WARRANTIES,
EXPRESS OR IMPLIED, IN CONNECTION WITH THE WEBSITE AND YOUR USE THEREOF. TV BIZ SPACE MAKES NO WARRANTIES
OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THIS SITE'S CONTENT OR THE CONTENT OF ANY SITES
